Termination

Either party may terminate ongoing services with 30 days' written notice. Client remains responsible for payment of services provided up to the termination date.

Termination for Breach

Either party may terminate immediately if the other party:

• Materially breaches these terms and fails to remedy the breach within 14 days of notice
• Becomes insolvent or enters bankruptcy proceedings
• Engages in conduct that damages the other party's reputation or business

Effect of Termination

Upon termination:

• All outstanding fees become immediately due and payable
• Each party will return or destroy confidential information of the other party
• Client data will be returned or destroyed as requested (subject to legal retention requirements)
• Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination

Governing Law
